1. Each Subscriber is eligible to subscribe or register to avail ACE facility subject to on Subscriber’s acceptance without modification of the terms and conditions, and for which he or she understands and agree to be bound by the same;

2. AIRCEL reserves the right to change the terms and conditions under ACE facility is offered, including but not limited to the tariff-rate for charges associated with ACE subscription or booking;

3. Subscriber shall subscribe or register his/her request for ACE facility at AIRCEL’s designated website i.e., http://www.aircelbusinesssolutions.com/ACE subject to following conditions, as applicable:

- for enterprise Subscriber having requisite and sufficient subscription paid in its account; and

- for Subscriber having sufficient minutes balance available;

AIRCEL reserves the right to reject request for ACE booking if Subscriber has not paid the stipulated subscription or crossed the threshold of the minutes limit, as applicable, and/or the service is barred within an hour of the scheduled ACE time;

4. At the time of registration, Subscriber shall register by filling up a customer form and providing the necessary Company Information and documents. The Subscriber shall open an account by providing a valid email address and password and the account will be activated by an activation link which will be mailed to the email address of the Subscriber. Once the account is activated, another email will be sent with the details of the ACE Access Numbers, Conference Id and Conference Pin.

To schedule a Conference click on ‘Schedule a New Conference call. The following fields will be displayed:

a. Subject - Enter the subject of the conference

b. Date and time of the conference call - Select the date and time for the conference call

c. Time zone of the conference call - Time zone of the conference call

d. Estimated length of conference call - Select the estimated length of conference call

e. Participants email - Enter the email address of all the participants. Separate multiple email addresses with a comma

f. Administrator Participants email – Enter the email address of the administrators. Separate multiple email addresses with a comma

g. Message for the participants - Type a message for your participants.

Click the ‘Create’ button and the conference information will appear in the My Scheduled Conferences box. Subscriber who registers or book ACE facility, for all purpose hereof, shall be refer as “Host”, whereas each user participant register to attend ACE, for and on behalf of Host, shall be refer as “Participant;

5. The tariff-rate for ACE facility is specified, in term of per participant and time duration, at designated website i.e., http://www.aircelbusinesssolutions.com/ACE , AIRCEL reserve right to modify, change or revised tariff rates at its sole discretion, without any prior intimation to Subscriber. For effective tariff-rate, Subscriber shall refer to latest tariff rate publish at said designated website;

6. The charges for ACE shall be based on the time duration reserved per Participant (including Host), and it shall not be based on airtime actually utilize nor Participants (including Host) actually attended the call session during ACE.

7. The ACE booking can be cancelled any time before the stipulated conference time provided that such cancellation for ACE booking shall be made within one hour prior of the scheduled conference time. Otherwise, Host shall be liable to make payment of 50% of charges for ACE booking, as per effective tariff rate stipulated.

8. The charges for ACE shall be debited in case Host is a prepaid Subscriber, however, for post paid Subscriber, the such charges shall be credited to its enterprise bill, as maintain by AIRCEL;

9. Subject to valid cancellation, as specified herein, all amounts once charged for ACE booking will not be subject to refund in any circumstances whatsoever;

10. In spite of best efforts, the voice clarity or call resolution during or in the course of ACE may vary due to Participants belonging to/subscriber of or from multiple telecom service operators within diverse network environments;

11. AIRCEL DOES NOT WARRANT THAT THE TRANSMISSION OR DELIVERY OF VOICE DURING AND IN COURSE OF ACE WILL BE ERROR-FREE OR TECHNICAL INTERRUPTION FREE. FURTHER, SEAMLESS AND SMOOTH TRANSMISSION AND DELIVERY OF VOICE CONTENT IN COURSE OF ACE SHALL DEPEND ON INTERCONNECTION INTERFACE OF PARTICIPANT RESIDING NETWORK, WHICH IS OPERATED AND MANAGED BY THIRD PARTY TELECOM OPERATOR. SUBJECT TO APPLICABLE LAW PROVISIONS AND AIRCEL SERVICE LICENCE CONDITION, AIRCEL SHALL EXCLUDES ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY AND ALL WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ETC.;

12. It is sole responsibility of Host and Participant to ‘dial-in’ into ACE access numbers. If Host or Participant are not able to dial-in into the ACE access numbers for any reasons not connected with AIRCEL support system failure or any act or omission on part of AIRCEL, then AIRCEL will not be responsible and no refund for ACE booking charges will be made;

13. AIRCEL, pursuant to its telecom service license condition and for compliance of applicable law provision, is responsible to implement and maintain lawful Interception (LI), for which Host and Participant hereby agree and raise no objection to their call content during and in the course of ACE may require to be subject to said LI. Therefore, the said LI responsibility implementation by AIRCEL hereof, shall not be construed as violation of Subscriber’s (includes Host and Participant) privacy or confidentiality;

14. The ACE shall be used for lawful activities only. Any illegal activities pursue or discussion with aid of ACE facility is not allowed and treated as illegal subject to action by AIRCEL or any appropriate control measure employ by law enforcement agencies of India. The ACE shall not be used in connection to any activities which construe as threat to India’s national security. In case any breach and loss by AIRCEL, the same will be indemnified by Host;

15. AIRCEL, at its discretion without any prior intimation, may cancel ACE, provided that such cancellation shall be effected prior to conference time. However, any sudden or unanticipated system or technical break down in Network affecting ACE call session shall be construed as reason beyond control of AIRCEL, and that in such event, AIRCEL shall not be liable for to comply condition of prior notice to its Host-Subscriber and for all purpose herein shall be excuse for its obligations as force majeure event;

16. The Host will solely be responsible for managing ACE related booking detail and pass word account and the same shall be communicated by AIRCEL to Host subsequent to valid and successful booking for ACE. It shall be Host sole responsibility to forward all Access Numbers, Conference Id and Pin No. details to Participant. AIRCEL will not be responsible for delivery of any intimation regarding the account information to Participant;

17. AIRCEL does not guarantee availability of ACE, when required during booking reservation of said conference by Subscriber due to limited conference port availability. The booking for ACE shall be made upon as and when availability basis, at sole discretion of AIRCEL;

18. ACE can start or continue without presence of Host;

19. While conference call is ongoing if conference call is canceled, existing Participant on the conference will not be dropped by AIRCEL unless Host drops each attends separately; Explanation - While on conference’s each call session, if Host disconnects, the said call session for conference still goes on and Participants can continue till the time runs out. In case, Host wants everyone to drop off from any call session, he/she needs to disconnect them from the administrative panel on http://www.aircelbusinesssolutions.com/ACE

20. AIRCEL will not be responsible for any losses due to lost or stolen Conference Id and Conference Pin No. etc.

21. The ACE service has been designed for self management & Host is responsible for managing their own account, booking conferences and other activities;

22. While best efforts have been put forth to secure confidentiality of your information by means of pin/password validation process, AIRCEL will not be responsible for any misuse, leakages or compromise. Any loss occurs due to reason of any misuse, leakage or compromise of security norms and condition, as prescribed in purpose herein, by Host or Participant shall be indemnified to AIRCEL;

23. AIRCEL is not responsible for unauthorized access of ACE through valid PINs;

24. For security reason, AIRCEL has a right to delay the delivery of the account PIN in relation conference call. AIRCEL reserves the rights to modify delay in the delivery time; however Host remains responsible for secure usage of their account PIN.

25. AIRCEL reserves the rights at its discretion to play important messages, in respect to usage call session time for ACE left to be utilized, etc, to Host during active call in course of ACE call;

26. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIRCEL AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF ACE, WITH THE DELAY OR INABILITY TO UTILIZE ACE, OR OTHERWISE ARISING OUT OF THE USE OF ACE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN AIRCEL OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES;

27. In case of any dispute regarding the Terms and Conditions, conduct or performance in course of ACE and any other matter relating to ACE, subject to and in consistent with applicable law, the decision of AIRCEL shall be final;

28. AIRCEL shall not be liable for any failure to perform any or all of its obligations hereunder is due to or attributable to acts, events, omissions or accidents beyond the reasonable control of AIRCEL, including act of God, fire, lockout, strike or other official labor dispute, union problem, riot or civil commotion, technical network failure, failure detected on Participant residing network or at interconnection interface or point of call termination, terrorism, satellite failure, failure of technical facilities not within the reasonable control of AIRCEL, act of public enemy, enactment, rule or order or act of government, such act or event being deemed an event of force majeure;

29. All or any dispute arising in relation hereof, between AIRCEL and Host-Subscriber, shall be subject to the exclusive court’s jurisdiction of Chennai;

30. The provision of ACE shall be subject to compliance of applicable law provision and fulfillment of AIRCEL’s statutory telecom service license condition;.
